{"id":28195,"date":"2013-10-18T00:00:00","date_gmt":"2013-10-18T05:00:00","guid":{"rendered":"https:\/\/www.dejusticia.org\/hard-strike-against-sophisticated-strategies\/"},"modified":"2017-04-11T08:02:11","modified_gmt":"2017-04-11T13:02:11","slug":"hard-strike-against-sophisticated-strategies","status":"publish","type":"post","link":"https:\/\/develop.dejusticia.org\/en\/hard-strike-against-sophisticated-strategies\/","title":{"rendered":"Hard Strike Against Sophisticated Strategies"},"content":{"rendered":"<p>Pues bien, ayer la Superintendencia de Sociedades decidi\u00f3 un pleito entre Finagro y el grupo empresarial M\u00f4nica Colombia que le quita cualquier sustento jur\u00eddico a tal apreciaci\u00f3n.<\/p>\n<p>La historia es la siguiente. Finagro, es la entidad que administra los fondos del programa de est\u00edmulos econ\u00f3micos de Incentivos a la Capitalizaci\u00f3n Rural \u2013 ICR. Los ICR son ayudas econ\u00f3micas que reciben personas naturales o jur\u00eddicas que han inyectado capital a sus proyectos productivos para hacerlos modernos, competitivos y sostenibles. Dado que el fondo no es ilimitado y que su distribuci\u00f3n debe guardar una proporci\u00f3n, una persona (natural o jur\u00eddica) solo puede recibir un ICR para un proyecto en un a\u00f1o.<\/p>\n<p>El Grupo Empresarial M\u00f4nica Colombia constituido por Tilava S.A.S, Monicol S.A.S, Agrocaxia S.A.S y M\u00f4nica S.A.S, logr\u00f3 hacerse a cuatro ICR a trav\u00e9s de cada una de las sociedades que lo componen. Hasta aqu\u00ed todo parec\u00eda ir bien.<\/p>\n<p>Sin embargo, Finagro demand\u00f3 ante la Superintendencia de Sociedades a M\u00f4nica Colombia por apropiarse indebidamente de los ICR. El argumento consist\u00eda en que, el entramado societario fue creado con el fin de recibir cuatro y no solo un ICR como est\u00e1 reglamentado. En palabras sencillas si se hubiera tratado de una sola sociedad hubiera recibido alrededor de 500 millones de pesos, pero, siendo cuatro sociedades la suma ascendi\u00f3 a 2.076 millones de pesos.<\/p>\n<p>La historia entonces empieza a parecer un d\u00e9j\u00e0 vu. Por un lado, con el caso de la Ministra de Educaci\u00f3n, el Ministro de Agricultura, parientes y dem\u00e1s amigos que, seg\u00fan Noticias Uno, constituyeron varias S.A.S con el fin de obtener varios antiguos bald\u00edos y varios ICR para un mismo proyecto agroindustrial.<\/p>\n<p>Por otro lado,  con el caso Riopaila. La creaci\u00f3n de 27 S.A.S de papel para hacerse a terrenos que confluyeron en un mismo latifundio de aproximadamente 40 mil hect\u00e1reas, y que con creces superan los topes establecidos por la Ley 160. Con esto, la estrategia de crear varias sociedades para saltarse la ley, pareciera dejar de ser original. Una l\u00e1stima para el multimillonario pago en honorarios de abogados.<\/p>\n<p>Pero, volviendo al pleito entre Finagro y M\u00f4nica Colombia, la Supersociedades le dio la raz\u00f3n al primero. En consecuencia, le orden\u00f3 a la segunda devolver el dinero recibido y pagar los gastos periciales y de inspecci\u00f3n judicial causados por el proceso.<\/p>\n<p>Sin embargo, lo m\u00e1s importante de la decisi\u00f3n no es el castigo a M\u00f4nica Colombia, sino la raz\u00f3n de la decisi\u00f3n. El eje central del fallo indica que, la conformaci\u00f3n de las sociedades debe obedecer a \u201cuna finalidad leg\u00edtima de negocios\u201d y no a la premura ileg\u00edtima de pasarse por la faja l\u00edmites establecidos por las leyes para salvaguardar los recursos.<\/p>\n<p>Finalmente, aunque se entiende que la decisi\u00f3n tomada tiene efectos solo para las partes del proceso, la similitud del problema jur\u00eddico de los tres casos permite que la premisa se ajuste como anillo al dedo en todos. El pronunciamiento de la Supersociedades sienta un duro precedente para detener la brillantez de los abogados sofisticados y el uso de estas figuras jur\u00eddicas asociativas con fines fraudulentos diferentes al fortalecimiento leg\u00edtimo y proporcionado de empresas.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The devious interpretation of the lawyers from Brigard y Urrutia of Law 160 of 1994, which allowed the accumulation of previously vacant lots by companies like Riopaila, has provoked different reactions.
